Disclosure and Regulatory Notice

Last updated: October 13, 2026

Publication date; no duty to update

Each blog post speaks only as of its publication date. Energy Substantiation Partners, LLC (“EnSub”) has no obligation to update any post to reflect later developments, including changes in law or regulation.

Not advice or an offer

Blog content is for general informational and educational purposes only. It is not investment, legal, tax, or financial advice. It is not an offer to sell, or a solicitation of an offer to buy, any commodity, digital asset, or security. Authors may be officers, employees, or affiliates of EnSub and may have a financial interest in WTIC.

Product classification

WTIC is structured to represent direct ownership of physical West Texas Intermediate crude oil as a spot commodity. It is not designed as a futures contract, option, swap, derivative, security, or investment contract, and it is not a leveraged or margined product. WTI Coin’s value comes from the market price of the underlying physical commodity, which global supply and demand determine. Its value does not come from the essential managerial efforts of Energy Substantiation Partners, LLC or any affiliated person. EnSub’s role with respect to WTIC is administrative and custodial, including maintaining physical storage verification and blockchain infrastructure.

Regulatory status

On March 17, 2026, the SEC and CFTC jointly issued an interpretive statement on how federal securities laws apply to crypto assets (Release Nos. 33-11412, 34-105020). The CFTC provided guidance that certain non-security crypto assets may meet the definition of “commodity” under the Commodity Exchange Act. EnSub has structured WTIC as such a commodity, subject to the CFTC’s anti-fraud and anti-manipulation enforcement authority over spot commodity markets. The regulatory classification of commodity-backed digital assets continues to evolve, and no U.S. regulator has made a final determination with respect to WTIC. WTIC is not registered with the CFTC, the SEC, or any state securities regulator. Energy Substantiation Partners, LLC is not a registered futures commission merchant, commodity pool operator, commodity trading advisor, or swap dealer.

Purchaser decisions

Any strategies described in blog content are illustrative only. The purchaser alone makes all commodity position, accumulation, and disposition decisions. EnSub does not direct, manage, or advise on any purchaser’s trading strategy or commodity position. Any appreciation or depreciation in token value reflects changes in the market price of crude oil.

Risk factors; no guarantee of returns

Holding WTIC involves risk of loss, including loss of the full purchase amount. Crude oil prices can fall substantially, and holders bear the full downside. The secondary market for WTIC may have limited depth, and there is no assurance a holder can sell at the prevailing market price. Token value depends on the issuer’s solvency, the integrity of physical storage arrangements, and continued verification of backing. Blockchain infrastructure, smart contracts, and platform availability carry technology risk. Regulatory treatment could change. Past commodity prices do not indicate future results. There is no assurance that any strategy described will produce positive results.

Blog content may contain forward-looking statements about future events, markets, products, and plans. These statements involve risks and uncertainties, and actual results may differ materially. Readers should not place undue reliance on them.
